Does reviewer feedback automatically rewrite the minutes?

No. Reviewer comments are review input. The chair or delegated board support user decides which feedback shapes the next draft.

Can Boardmate be evaluated with a small sample batch?

Yes. A first evaluation usually works best with several ordinary meetings, one complex meeting, one short or adjourned meeting, and prior minutes that show house style.

Is Boardmate Lite separate from Boardmate Companion?

Lite is the backlog-clearing workbench. Companion is the broader board cycle workspace for agendas, report requests, board packs, annual compliance tasks, actions, approvals, reminders, and governance memory.

These terms govern access to and use of Boardmate, the board minutes and governance platform operated by Boardmate Limited ("Boardmate", "we"). By creating an account or using the service you agree to these terms on behalf of yourself and, where applicable, the organisation you represent.

The service

Boardmate turns board meeting materials into formal minutes, tracked actions and governance records. The service is offered in packages, currently including Boardmate Lite, focused on backlog import and minutes review, and the full governance workspace (Boardmate Companion), which adds meeting planning, compliance schedules, action follow-up, board pack assembly and related tools. Features vary by package and evolve over time; material removals of functionality from a paid package will be notified in advance.

Accounts

Accounts and organisations

You must provide accurate account information and keep credentials secure. An organisation's owner and administrators control membership, roles and access within that organisation, including access scoped to individual funds or entities. You are responsible for the people you invite and the access you grant them.

Your content

Your content and our processing

You retain all rights to the material you bring to Boardmate: recordings, transcripts, uploaded documents, minutes, comments and records (together, "Customer Content"). You grant us the licence needed to host and process Customer Content solely to provide the service.

Processing you direct includes transcription of meeting audio through our transcription provider.
Generation of draft minutes and related documents from your materials.
Delivery of emails you approve through our email provider.
Where you connect an integration such as Zoom, receipt of transcripts from that provider under the permissions you grant.
Draft minutes are drafts: they require human review, and approval of minutes remains your responsibility.

Acceptable use

You agree not to misuse the service: no unlawful content, no attempts to breach security or access other tenants' data, no reselling of the service without our agreement, and no use that infringes others' rights. We may suspend access that threatens the service or other customers, and will tell you why unless the law prevents it.

Fees

The service operates on credits together with an onboarding fee, in each case agreed with you before work begins and reflecting your needs and the integrations required. Credits are drawn down as the service processes your materials. Fees are exclusive of applicable taxes. We do not change agreed pricing mid-term.

Security

Confidentiality and security

We treat Customer Content as confidential and apply technical and organisational measures appropriate to board-level material, including encryption in transit and at rest, tenant isolation enforced at the database layer, and approval gates before any outbound email leaves the platform. Security details relevant to due diligence are available to customers and prospective customers under confidentiality.

Data protection

Each party complies with applicable data protection law. Where we process personal data on your behalf we do so as your processor, acting on your documented instructions, and we will enter into data processing terms where applicable law requires them. Our privacy policy describes what we collect and why.

Availability

Availability and support

We aim to keep the service available continuously but do not promise uninterrupted operation. Planned maintenance will be notified where practical. Support is provided by email at support@boardmate.app.

Termination

Term, termination and your data

Either party may terminate as agreed at purchase, and you may stop using the service at any time. On termination we will, at your request, make Customer Content available for export in the formats the service supports (including DOCX and PDF for minutes and governance records) for thirty days, after which we delete Customer Content from live systems within a reasonable period, subject to legal retention duties.

Intellectual property

The service, its software and its design remain ours. Feedback you give us may be used to improve the service without obligation.

Liability

Nothing in these terms excludes liability that cannot be excluded by law, including for fraud. Subject to that, neither party is liable to the other for indirect or consequential loss.

Changes

Changes to these terms

We may update these terms; material changes will be notified at least thirty days before they take effect. Continued use after that date is acceptance.

Law

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
